Board of Directors Special Meeting Minutes

Present: (all via Teams) Board Members Jim Murphy, Brad Pavloski, Jim Keene, Randy Dorshorst, Administrator Kathy Oliver, Kyra Cassidy, Jason Terry, Hillary Sorge from MBE CPA’s
Call to Order/Approve Agenda-
The meeting was called to order via Microsoft Teams at 9:04 AM and the agenda was approved by the board. With 4 board members present, we did have a quorum.
Approval of Minutes-
A motion was made by Jim Keene, seconded by Brad Pavloski, to approve the minutes from the November 9, 2023 regular meeting with no changes or corrections. Motion carried with all in favor. A motion was made by Jim Keene, seconded by Brad Pavloski to approve the minutes from the December 21, 2023 Public Hearing. Motion carried with all in favor.
Discussion and Possible Action on 2022 Financial Audit Report-
Hillary Sorge from MBE CPA’s presented a draft of the 2022 Audit Report, in which a clean opinion with no issues was delivered. Jim Keene questioned the timeline for depreciation. Hillary said 14-17 yrs is the recommended time for our situation. Hillary recommended we review our agreement for Pledged Securities with the bank and have a signed copy. Kathy Oliver will check into this for our next meeting.
Discussion and Possible Action on Administrator’s Report –
-Financial Status Summary – Financial information was provided by Kathy Oliver, including bank account balances, accounts payable and accounts receivable. Our current members, Connected and Unconnected, total 1,335. A motion was made by Jim Keene, with a second by Brad Pavloski to approve the Administrators Report. Motion carried with all in favor.
Discussion and Possible Action on WWTF Operations Update –
Jason Terry reported that avg influent and effluent flows remained typical for Nov/Dec. Effluent levels for ammonia and phosphorus are in compliance. Cooper needs tweaking. MSA feels that they have found the “sweet spot” with chemicals and systems.
Jason presented a proposal for Lift Station #1 valve replacements. Jim Keene made a motion to go ahead with the repairs as proposed. Motion was seconded by Bard Pavloski and carried with all in favor.
Jason Terry commented that he has a party interested in purchasing the portable generator, and recommends we try to sell it for $15,000.00. All board members agreed that Jason should proceed with the sale and negotiate sale price as needed. Kathy will assist as needed.
On 10/13/2023 we had a Windcrest Ct sewer leak. The flushing valve repair was done by Gerke’s and they were very good to work with according to Jason Terry.
Kyra Cassidy discussed Lagoon blower issues. Lagoon blower #1 electrical drive motor has been returned onsite and the installation work is being scheduled. Blower #2 electrical drive motor wire leads were showing signs of wire insulation heat damage. Unit electrical repairs were done to motor wire leads by Total Electric, and more repairs are needed to correct issues caused by failing peckerhead wiring. Kyra commented that she has exceeded budget by approximately $8,000 dealing with the issue, but feels that it is necessary to proceed with further repairs. A motion was made by Jim Keene, with a second by Brad Pavloski to proceed with the repairs at whatever cost to prevent further damage. Motion carried with all in favor.
Discussion and Possible Action on Revision of Resolution for REU Determination-
After review of minutes and input from our 12/21/23 Public Hearing a motion was made by Jim Keene, with a second by Randy Dorshorst to adopt the new REU determinations as recommended by MSA. The motion carried with all in favor. Kathy Oliver will issue invoices for 2024 accordingly.
