BOARD OF DIRECTORS MEETING

MINUTES

 

Present(All via Skype): Board Members Jim Murphy, Jim Keene, Brad Pavloski,  Pat Connors, Rodney Abbrederis, Administrator Kathy Oliver, Tom Fitzwilliams from MSA, Kyra Peach from MSA,  Jim Marx as member of the public

Call to Order/Approve Agenda

The meeting was called to order at 9:03 AM and the agenda was approved by Jim Murphy, President. With all board members present we did have a quorum.

Discussion and Possible Action on Officer Elections per Wis. Stat. ss60.76(1)(a)and Oaths of Office

Jim Murphy confirmed that newly elected board members Rod Abbrederis and Jim Keene did take their Oaths of Office with the Town of Germantown. A motion was made by Jim Keene, with a second by Brad Pavloski that officers be elected as follows: President Jim Murphy; Vice President Brad Pavloski and Secretary Jim Keene. The motion passed with all in favor.    

Minutes

A motion was made by Pat Connors, seconded by Brad Pavloski  to approve the minutes from the March 12, 2020 regular meeting. Motion carried 5-0. A motion was made by Brad Pavloski, seconded by Pat Connors to approve the minutes from the April 9, 2020 special meeting. Motion carried 5-0. A motion was made by Brad Pavloski, seconded by Jim Keene  to approve the minutes from the April 30, 2020 {Public Hearing. Motion carried 5-0.

Administrator’s Report

-Financial Status Summary Financial information was provided by Kathy Oliver, including bank account balances, accounts payable and accounts receivable, and 2020 YTD Budget vs Actuals. Rod Abbrederis questioned the amount of outstanding 2020 member dues and our collecftion process. Kathy explained that we turn any that are still outstanding over to the county annually for collection.

-Connections Update There have been 9 connections in 2020. The District has an overall current total of 1091 members.

-Brad Pavloski made a motion to approve the Financial Report, with a Second by Jim Keene. Motion carried 5-0. 

 

Wastewater/Compliance Update –

Tom Fitzwilliams reported that a review of the plant operation for February thru April 2020 shows that it is currently running well and meeting all standards for compliance. Tom introduced Kyra Peach, who will be assisting with the new plant upgrade design. They reported that that they have submitted the plan to the DNR and that it may take up to 90 days for them to reply. We need to continue to move forward in order to meet funds application deadline by the end of September 2020. They will hire an engineer to do a soil boring test to ensure that the current site is still suitable for building within the next month. Tom will present a more specific site layout/plan at our July board meeting. He is considering different building design options to deal with chemical operations and resistance. Tom mentioned that Rod Abbrederis would be meeting with Jason Terry at the plant on Wednesday, May 20 at 10AM to tour the current facility and that anyone who would like to join is welcome.   A motion was made by Pat Connors, with a second by Jim Keene to approve Tom’s report. Motion carried with all in favor.

Discussion and Possible Action on ByLaws regarding director meeting attendance –

Jim Keene lead the discussion by mentioning that 2 board members were in violation of ByLaws rules for meeting attendance. They were Jim Marx and Pat Connors. Since Jim Marx was not re-elected and no longer a director,  the only violation to deal with is the fact that Pat Connors missed the January 9 and March 12, 2020 meetings.  There was some discussion and Pat Connors mentioned that he is very proud of the time that he has served and the things that the district has accomplished. He did not have a heads up on the issue and would have liked the time to fact check. Jim Murphy explained that per the district’s attorney, since directors are elected through the Town of Germantown election process, the Town Board would have to take action to remove a director.    Jim Keene made a motion, with a second by Brad Pavloski that Jim Murphy write a letter to the town board asking that Mr. Connors be removed from the board for the ByLaws violation. A roll call vote was done and all board members were in favor, with the exception of Pat Connors, who abstained from voting. Motion carried 4-0.

Public Comment –

Pat Connors welcomed Rod Abbrederis to the board and asked about his history/experience with Sanitary District operations. Rod explained that he has a degree in Engineering with a specialty in Environmental Engineering.  He has experience in water quality, wastewater treatment and plant design.

Adjourn-

A motion was made by Pat Connors, with a second by Jim Keene, to adjourn at 9:36 AM. Motion carried with all in favor.
